Terms of Service

1. The Service

PROCAI is an AI-native procurement platform. Features include supplier discovery, request-for-quote (RFQ) management, and quotation comparison. We may add, change, or remove features over time.

2. Your account

• You must be at least 16 and acting on behalf of a business or yourself with legal capacity to enter this agreement.
• You're responsible for what happens under your account. Keep your credentials secure and notify us at [email protected] of any unauthorised access.
• You agree not to misrepresent your identity, send unsolicited bulk email through connected mailboxes, or use PROCAI to violate any law or third-party right.

3. Acceptable use

You will not:

• Use the Service to send spam, phishing, or other prohibited content;
• Reverse-engineer, decompile, or attempt to extract the source code;
• Resell, sublicense, or otherwise commercially exploit access to the Service without our written agreement;
• Send RFQs through a connected mailbox in a way that violates that mail provider's acceptable-use or anti-spam policies (Gmail, Outlook, and your own SMTP host all have their own rules — we comply with theirs and you must too).

4. Your content

You retain ownership of the procurement data, documents, and messages you create or upload. You grant PROCAI a non-exclusive licence to host, process, and display that data solely to operate the Service for you and your organisation.

5. Fees

Paid plans are billed per the pricing page in effect when you subscribe. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice for existing subscriptions.

6. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for material breach of these Terms or for prolonged inactivity, with reasonable notice where possible. Sections 8, 9, and 10 survive termination.

7. Third-party services

The Service interoperates with third-party APIs (Google Gmail, Microsoft Graph, your own SMTP/IMAP host, etc.). Your use of those services is subject to their respective terms. PROCAI is not responsible for outages, bugs, or policy changes outside our control.

8. Disclaimers

The Service is provided "as is". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs (supplier matches, comparison summaries) may contain errors and should be reviewed before relying on them for purchasing decisions.

9. Limitation of liability

To the maximum extent permitted by law, PROCAI's aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us in the 12 months before the claim, or (b) USD 100.

10. Governing law

These Terms are governed by the laws of Lebanon, without regard to its conflict-of-laws rules. Disputes will be brought in the competent courts of Beirut, unless mandatory consumer-protection rules require otherwise.

11. Changes

We may update these Terms. Material changes will be notified by email to your account address at least 14 days before they take effect.
